3.2 Account Termination
We reserve the right to suspend or terminate your account at any time, without notice, for:

- Fraudulent or illegal activity
- Providing false information
- Prolonged inactivity (180+ days)
- At our sole discretion for business or security reasons

3.3 Agent Responsibilities
If you are granted access to the Agent Portal, you agree to:
- Maintain all required insurance licenses in good standing
- Comply with all federal, state, and local insurance regulations
- Protect client confidentiality and personal information
- Use the platform ethically and professionally
- Report any security incidents or data breaches immediately

4.1 No Professional Advice

5. Intellectual Property Rights

8. Dispute Resolution & Governing Law
8.1 Governing Law
These Terms shall be governed and construed in accordance with the laws of the United States of America and the state where Thrive Insurance Partners is headquartered, without regard to conflict of law provisions.
8.2 Informal Dispute Resolution
Before filing a lawsuit, you agree to first contact us and attempt to resolve the dispute informally. Email disputes to legal@thriveinsurancepartners.com with a detailed description of the issue. We will attempt to resolve within 30 days.
8.3 Arbitration Agreement
If informal resolution fails, you and Thrive Insurance Partners agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Site shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
